Introduction
Welcome to Vertus! These Terms of Use ("Terms") govern your use of the services, including medical consultations, telehealth services, and any other offerings available through the Vertus website, platform, or mobile applications (collectively, the "Sites"). By accessing or using our Sites, you agree to comply with these Terms. If you do not agree with any part of these Terms, please do not use the Sites or the services provided by Vertus.
Program Participation
1. Eligibility
By participating in the VertusAI Program, you acknowledge that you meet the clinical criteria established by your healthcare provider for participation. You understand that failure to meet the clinical criteria does not relieve you of responsibility for paying the Diagnosis Online Visit and any required laboratory tests, which are separate from the Membership Fee.
2. Membership and Fees
Your membership ("Membership") in the Program begins once your healthcare provider communicates your care plan and you acknowledge and accept the risks and benefits of treatment. Membership services include up to eight (8) medical consultations, laboratory tests, at-home blood draws, secure messaging with your healthcare provider, and more, as specified below. The Membership Fee is charged on a recurring basis.
Included Services:
- 12-month membership
- Up to eight (8) medical consults per year
- Up to eight (8) lab panels per year (cost of tests not included)
- Up to eight (8) at-home blood draws
- Secure messaging with your healthcare provider
- Prescription medication fulfillment, if chosen, with free two-day shipping
3. Additional Services Fees
If you exceed the Membership services, you will incur additional fees for extra consultations, lab interpretations, and at-home blood draws:
- $15 for each additional consult or lab interpretation
- $125 for each additional at-home blood draw
Any Additional Services Fees will be charged to your payment card or PayPal account within seven (7) days of incurring such charges.
4. Payment of Membership Fee
The Membership Fee is automatically charged to your payment card or PayPal account on a recurring, monthly basis until canceled. The initial fee is non-refundable. You can cancel your Membership at any time by contacting DoctorAdam. If you transfer your prescription to a local pharmacy, the Membership Fee will not include medication costs.
Delays, Pauses, and Cancellations
1. Delaying Membership
If you wish to delay your Membership, you may do so via your Secure User account or by contacting VertusAI. Delaying may affect your treatment plan, and re-evaluation may be required.
2. Pausing Membership
You may pause your Membership ("On-demand") by stopping auto-payments. You will not be charged again until you initiate a refill or reactivate auto-payments.
3. Cancellation of Membership
You may cancel your Membership at any time, but any fees already paid are non-refundable. If you cancel or pause your Membership for a significant period without resuming treatment, your Membership may be canceled.
Changes to Membership and Services
Vertus reserves the right to modify the services included in the Membership, and you will be notified 30 days in advance of any such changes. You can accept the revised terms by continuing to use the Program or terminate your Membership if you do not agree.
Governing Law and Dispute Resolution
1. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
2. Arbitration
Any dispute between you and Vertus will be resolved through binding arbitration, except for claims related to intellectual property or urgent injunctive relief. Arbitration will occur in New York, New York, and will follow the rules of the American Arbitration Association.
Privacy and Data Security
Vertus is committed to protecting your privacy and maintaining the confidentiality of your medical information. All data collected will be handled according to our Privacy Policy.
Assignment
You may not assign your rights under these Terms. Vertus may transfer its rights and obligations to third parties without notice in the event of a merger, sale, or other business transaction.
Digital Millennium Copyright Act (DMCA)
Vertus AI complies with the DMCA and will respond to notices of alleged copyright infringement. If you believe any content on our Sites infringes your copyright, please submit a notification to our Designated Agent at support@vertus.ai.
No Waiver
Failure by Vertus to enforce any provision of these Terms does not constitute a waiver of such provision. Any waiver must be in writing and signed by Vertus.
Severability
If any part of these Terms is found to be invalid or unenforceable, the rest of the Terms will remain in effect.
