1. ACCEPTANCE OF TERMS
These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Vertus Limited, a company incorporated in the Isle of Man ("Vertus," "we," "us," or "our"). By accessing, browsing, or using the Vertus website (vertus.ai), mobile applications, application programming interfaces (APIs), artificial intelligence systems, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. NATURE OF SERVICES - TECHNOLOGY PROVIDER ONLY
2.1 Technology Provider Status
VERTUS LIMITED IS SOLELY A TECHNOLOGY PROVIDER. We develop, maintain, and license proprietary software, algorithms, artificial intelligence systems, and related technologies.
WE ARE NOT:
- - An investment advisor, financial advisor, or financial planner
- - A registered investment advisor (RIA) under any jurisdiction
- - A broker-dealer or securities broker
- - An asset manager or fund manager
- - A fiduciary to you or any user
- - A custodian of funds or securities
- - A bank or financial institution
- - A provider of financial, investment, tax, legal, or regulatory advice
2.2 Regulated Entity Relationships
Certain Vertus technologies may be accessed through licensed, regulated asset managers, broker-dealers, or financial institutions in various jurisdictions (each, a "Regulated Entity"). When you access Vertus technologies through a Regulated Entity:
(a) Your contractual relationship regarding financial services is with the Regulated Entity, not Vertus; (b) The Regulated Entity, not Vertus, is responsible for regulatory compliance; (c) The Regulated Entity, not Vertus, has custody or control of any funds or assets; (d) Vertus' role is limited to providing technology to the Regulated Entity; (e) Any investment management, asset management, or advisory services are provided by the Regulated Entity, not Vertus.
2.3 Self-Directed Use
When you use Vertus technologies directly (not through a Regulated Entity):
(a) You are using the technology for self-directed purposes; (b) All trading, investment, or financial decisions are made by you; (c) You maintain full control and responsibility for your accounts; (d) You are not receiving investment advice or asset management services from Vertus; (e) Any use of artificial intelligence or automated systems is as a tool for your own self-directed activities.
3. ARTIFICIAL INTELLIGENCE AND AUTOMATED SYSTEMS
3.1 AI Technology Nature
Vertus provides access to artificial intelligence systems, including but not limited to our "Superintelligence" API and related AI-driven technologies (collectively, "AI Systems").
YOU ACKNOWLEDGE AND AGREE:
(a) Experimental Nature: AI Systems utilize machine learning, neural networks, and other advanced computational methods that are inherently experimental, evolving, and subject to limitations.
(b) No Guarantees: AI Systems do not guarantee accuracy, profitability, or any specific outcome. Results may vary significantly and unpredictably.
(c) Errors and Mistakes: AI Systems can and will make errors, mistakes, and incorrect predictions. These errors may result in financial losses.
(d) Non-Deterministic: AI Systems may produce different outputs for similar inputs and may behave in unexpected ways.
(e) Training Data Limitations: AI Systems are trained on historical data which may not predict future market conditions, and such data may contain biases, inaccuracies, or gaps.
(f) No Human Oversight Required by Vertus: While you may choose to monitor AI Systems, Vertus does not require, provide, or guarantee human oversight of AI decisions.
3.2 AI Execution Capabilities
Certain AI Systems may have the capability to execute trades, transactions, or other actions with real financial consequences when connected to your brokerage accounts, trading platforms, or financial institutions.
YOU ACKNOWLEDGE:
(a) Any such execution capabilities require your explicit authorization through separate agreements; (b) You grant any execution permissions at your sole risk; (c) AI Systems may execute trades, enter positions, or conduct transactions that result in financial loss; (d) Execution speed, timing, and outcomes are not guaranteed; (e) You maintain ultimate responsibility for all AI-executed actions; (f) You must monitor your accounts and can revoke AI access at any time; (g) Vertus is not responsible for any trades, positions, or transactions executed by AI Systems.
3.3 AI Data Usage
AI Systems collect, process, and analyze data from your use, including but not limited to:
- - Trading patterns and behaviors
- - Account data and performance
- - User interactions with the Services
- - Inputs, queries, and commands
You acknowledge and consent that: (a) All data collected may be used by Vertus for AI training, improvement, and development; (b) Data usage is governed by our Privacy Policy; (c) Vertus does not sell user data to third parties; (d) Data may be aggregated, anonymized, or processed for research and development.
4. ACCOUNT CONNECTIONS AND INTEGRATIONS
4.1 Third-Party Connections
The Services may allow you to connect your brokerage accounts, trading platforms, bank accounts, exchanges, or other third-party financial services (each, a "Third-Party Account").
YOU ACKNOWLEDGE:
(a) Your Authorization: You authorize any connections to Third-Party Accounts at your sole risk and discretion.
(b) Your Credentials: You are responsible for safeguarding your login credentials, API keys, access tokens, and authentication information for all Third-Party Accounts.
(c) Security Risks: Connecting Third-Party Accounts creates cybersecurity, unauthorized access, and fraud risks that you assume.
(d) Third-Party Terms: Your use of Third-Party Accounts is subject to their terms of service and privacy policies.
(e) No Vertus Control: Vertus does not control Third-Party Accounts, their security, availability, or functionality.
(f) Vertus Not Liable: Vertus is not liable for any losses, unauthorized access, system failures, or issues related to Third-Party Accounts.
(g) Disconnection Rights: You can disconnect Third-Party Accounts at any time. Vertus can disconnect or restrict access at any time without notice.
4.2 API Access and Usage
If you use Vertus APIs, you acknowledge:
(a) API access is subject to additional API Terms of Use; (b) APIs are provided "as is" without warranties; (c) Vertus may change, limit, or discontinue API access at any time; (d) You are responsible for all activity conducted through your API keys; (e) You must implement appropriate security measures; (f) API rate limits and usage restrictions apply.
5. NO FINANCIAL ADVICE OR RECOMMENDATIONS
5.1 Not Financial Advice
NOTHING PROVIDED THROUGH THE SERVICES CONSTITUTES FINANCIAL, INVESTMENT, TRADING, TAX, LEGAL, OR REGULATORY ADVICE. This includes but is not limited to:
- - AI-generated outputs, predictions, or suggestions
- - Market data, analysis, or research
- - Performance information or backtests
- - Educational content or documentation
- - Communications from Vertus personnel
5.2 No Recommendations
Vertus does not recommend, endorse, or suggest:

- - Any timing for purchases or sales
- - Any allocation or portfolio construction

6. RISKS AND DISCLAIMERS

TRADING AND INVESTING INVOLVE SUBSTANTIAL RISK OF LOSS. You acknowledge:
(a) You can lose some or all of your invested capital; (b) Past performance does not indicate future results; (c) Market conditions can change rapidly and unpredictably; (d) Leverage and margin amplify both gains and losses; (e) Cryptocurrency and digital asset trading involve extreme volatility; (f) Technical failures can result in inability to execute or close positions; (g) Slippage, liquidity issues, and execution delays can occur; (h) Regulatory changes can impact investments; (i) You should not invest more than you can afford to lose.
6.2 Technology Risks
TECHNOLOGY IS INHERENTLY IMPERFECT. You acknowledge:
(a) Software may contain bugs, errors, or vulnerabilities; (b) System outages, downtime, or performance issues may occur; (c) Data feeds may be delayed, inaccurate, or unavailable; (d) Cybersecurity breaches could compromise data or systems; (e) Algorithm failures or unexpected behaviors may occur; (f) Third-party infrastructure (internet, servers, exchanges) may fail; (g) Updates or changes may disrupt functionality.
6.3 AI-Specific Risks
ARTIFICIAL INTELLIGENCE SYSTEMS INVOLVE UNIQUE RISKS:
(a) Unpredictability: AI may behave in unexpected or unintended ways; (b) Model Degradation: AI performance may deteriorate over time; (c) Bias: AI may exhibit biases from training data; (d) Overfitting: AI may perform well historically but poorly in live conditions; (e) Black Box: AI decision-making processes may not be fully explainable; (f) Market Impact: AI actions may influence market conditions; (g) Cascading Failures: AI errors may compound or create chain reactions; (h) Adversarial Inputs: AI may be susceptible to manipulation; (i) Regulatory Uncertainty: AI regulation is evolving and unclear.
7. INTELLECTUAL PROPERTY
7.1 Vertus Ownership
All intellectual property rights in the Services, including but not limited to:

- - Trading strategies and methodologies
- - User interfaces and designs
- - Documentation and content
- - Trademarks, logos, and branding
- - Data, databases, and compilations
are owned exclusively by Vertus or its licensors. These Terms do not transfer any intellectual property rights to you.
7.2 Limited License
Subject to these Terms, Vertus grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not permit:
(a) Reverse engineering, decompiling, or disassembling any technology; (b) Copying, modifying, or creating derivative works; (c) Renting, leasing, selling, or sublicensing access; (d) Circumventing security or access controls; (e) Using the Services to build competing products; (f) Extracting data through automated means (except via authorized APIs); (g) Removing or altering proprietary notices.
7.3 Feedback and Suggestions
Any feedback, suggestions, ideas, or improvements you provide regarding the Services become the sole property of Vertus. You hereby assign all rights in such feedback to Vertus without compensation.
8. DISCLAIMER OF WARRANTIES
8.1 "AS IS" and "AS AVAILABLE"
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
8.2 Disclaimer of All Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTUS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
(a) Merchantability: No warranty that Services are suitable for any particular purpose; (b) Fitness for Purpose: No warranty Services will meet your requirements; (c) Non-Infringement: No warranty Services don't infringe third-party rights; (d) Accuracy: No warranty data, outputs, or predictions are accurate; (e) Reliability: No warranty Services will be uninterrupted or error-free; (f) Security: No warranty Services are secure or free from vulnerabilities; (g) Results: No warranty regarding outcomes, profits, or performance; (h) Quality: No warranty regarding the quality of Services; (i) Timeliness: No warranty Services or data are current or timely; (j) Compatibility: No warranty Services work with your systems.
8.3 No Guarantees
Vertus makes no guarantees regarding:
- - Profitability or investment returns
- - AI performance or accuracy
- - Uptime or availability
- - Data accuracy or completeness
- - Security against breaches or attacks
- - Compatibility with Third-Party Accounts
- - Regulatory compliance in your jurisdiction
- - Suitability for your purposes

9. LIMITATION OF LIABILITY
9.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- - Loss of profits or revenue
- - Loss of data or information
- - Loss of business or opportunities
- - Trading losses or investment losses
- - Cost of substitute services
- - Loss of goodwill or reputation
- Personal injury (except where prohibited by law)
EVEN IF VERTUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.2 Cap on Direct Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTUS' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:
(a) The amount you paid to Vertus in the twelve (12) months preceding the claim; or (b) One hundred US dollars ($100).
9.3 Basis of the Bargain
You acknowledge that the disclaimers and limitations in these Terms reflect a reasonable allocation of risk and are a fundamental basis of the bargain between you and Vertus. The Services would not be provided without these limitations.
9.4 Exceptions
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, Vertus' liability is limited to the maximum extent permitted by law.
9.5 No Liability for Third Parties
Vertus is not liable for:
- - Actions or failures of Regulated Entities
- - Third-Party Account provider failures or issues
- - Exchange, broker, or market disruptions
- - Internet service provider failures
- - Hardware or software you use to access Services
- - Actions of other users
- - Government actions or force majeure events

10. INDEMNIFICATION
10.1 Your Indemnification Obligation
You agree to indemnify, defend, and hold harmless Vertus and its officers, directors, employees, agents, affiliates, contractors, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
(a) Your use or misuse of the Services; (b) Your violation of these Terms; (c) Your violation of any laws, regulations, or third-party rights; (d) Your trading, investment, or financial activities; (e) Your connection of Third-Party Accounts; (f) Your use of AI Systems, including any AI-executed trades or transactions; (g) Content you submit or transmit through the Services; (h) Your negligence, willful misconduct, or fraud; (i) Claims by third parties related to your use of the Services; (j) Regulatory investigations or enforcement actions related to your activities; (k) Tax liabilities or reporting failures related to your activities; (l) Unauthorized access to your accounts through your credentials.
10.2 Defense Rights
Vertus reserves the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate with Vertus' defense of such claims.
11. USER CONDUCT AND ACCEPTABLE USE
11.1 Prohibited Activities
You agree NOT to:
(a) Violate any laws, regulations, or rights of others; (b) Use the Services for illegal activities; (c) Reverse engineer or attempt to extract source code; (d) Interfere with or disrupt the Services or servers; (e) Circumvent security measures or access restrictions; (f) Use automated systems (bots, scrapers) except via authorized APIs; (g) Overload systems or conduct denial-of-service attacks; (h) Impersonate others or provide false information; (i) Share your account credentials with others; (j) Sell, transfer, or sublicense your access; (k) Use the Services to build competing products; (l) Infringe intellectual property rights; (m) Transmit viruses, malware, or harmful code; (n) Harvest or collect user data; (o) Attempt unauthorized access to any systems.
11.2 Account Security
You are responsible for:
- - Maintaining confidentiality of login credentials
- - All activity under your account

- - Promptly notifying Vertus of unauthorized access
- - Using strong, unique passwords
11.3 Compliance with Laws
You represent and warrant that: (a) You are legally permitted to use the Services in your jurisdiction; (b) You meet all age requirements (at least 18 years old); (c) You are not in a jurisdiction where Services are prohibited; (d) You comply with all applicable securities, financial, and tax laws; (e) You will obtain any necessary licenses or registrations; (f) You are not on any sanctions or restricted persons lists.
12. TERMINATION
12.1 Termination by You

12.2 Termination by Vertus
Vertus may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, for any reason including:
(a) Violation of these Terms; (b) Suspected fraudulent, abusive, or illegal activity; (c) Extended periods of inactivity; (d) Regulatory requirements or concerns; (e) Technical or security reasons; (f) At Vertus' sole discretion.
12.3 Effect of Termination
Upon termination: (a) Your right to access the Services immediately ceases; (b) You must cease all use of the Services; (c) Vertus may delete your account and data; (d) Sections that by their nature should survive will survive; (e) You remain liable for obligations incurred prior to termination.
12.4 Survival
The following sections survive termination: Sections 7 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 13 (Dispute Resolution), and any other provisions that by their nature should survive.
13. DISPUTE RESOLUTION
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Isle of Man, without regard to conflict of law principles.
13.2 Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration rather than in court, except that:

Arbitration shall be conducted under the Rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted by a single arbitrator in the Isle of Man, in English.
13.4 No Class Actions
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN CLASS ACTIONS, CONSOLIDATED ACTIONS, OR REPRESENTATIVE ACTIONS.
13.5 Waiver of Jury Trial
TO THE EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO A JURY TRIAL.
14. MODIFICATIONS TO SERVICES AND TERMS

16.5 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
16.6 Force Majeure
Vertus is not liable for any failure or delay due to causes beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, network failures, or other force majeure events.
16.7 Notices

16.8 Export Controls
The Services may be subject to export controls. You agree to comply with all applicable export and import laws.
